Terms of Service

1. The Service

Galleyo is a multi-tenant, subscription-based software platform that helps superyacht crews manage galley operations, including provisioning, inventory, ordering, recipes, menu planning, supplier directories, interior, and guest preferences.

2. Accounts & eligibility

• You must be at least 18 years old to use Galleyo.
• You are responsible for the accuracy of registration information you provide.
• You are responsible for the security of your password and your account’s activity.
• You must not share login credentials. Each user needs their own account.
• You must notify us immediately of any unauthorised access.

3. Subscriptions & payment

• Pricing is per vessel, billed monthly or yearly, in the currency shown at checkout.
• Prices exclude applicable taxes (such as VAT or GST), which are added at checkout where they apply.
• Every vessel plan starts with a 14-day free trial. A payment method is required to start the trial; nothing is charged during it. Unless you cancel before the trial ends, the chosen plan begins to bill on day 15.
• You authorise Stripe to charge your payment method on a recurring basis.
• You can change plan, update your payment method or cancel at any time from the billing portal. Cancellation takes effect at the end of your current billing period.
• Refunds are not generally provided for partial billing periods, except as required by law.

4. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of any applicable law.
• Attempt to gain unauthorised access to other tenants’ data.
• Reverse engineer, decompile, or disassemble the Service.
• Copy, reproduce, modify, adapt or create derivative works from the Service or any part of it, including its screens, layouts, templates and document formats.
• Use the Service, or any content or formats obtained from it, to build, train or improve a competing product or service.
• Frame, scrape, mirror or systematically extract data from the Service other than through features we provide for that purpose.
• Use the Galleyo name, logos or marks without our prior written consent.
• Use the Service to send spam or transmit malware.
• Resell or sublicense the Service without our written consent.

5. Our intellectual property

The Service, including its software, design, screens, layouts, templates, printed and exported document formats (menus, checklists, handover notes, order forms, reports), text, graphics, logos and the Galleyo name and marks, is owned by Galleyo Limited or its licensors and is protected by copyright, trade mark and other intellectual property laws.

Nothing in these Terms transfers any ownership of the Service to you. All rights not expressly granted to you are reserved.

6. Your licence to use the Service

Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your vessel’s internal operations during your subscription.

You may print and export documents the Service generates (menus, order forms, checklists, handover notes and similar) for use aboard your vessel and with your own guests, crew and suppliers. You may not remove or alter any Galleyo branding, notices or attribution on those documents.

7. Feedback

If you send us ideas, suggestions or feedback about the Service, you agree that we may use them without restriction or payment to you, and that they become our property. We will not use your name or your vessel’s name in connection with feedback without your consent.

8. Your content

You retain ownership of all data you upload (vessel info, inventories, recipes, menus, guest preferences, etc.). You grant us a limited license to host, process, display, and back up that data solely to provide the Service. You are responsible for the legality of the content you upload.

For clarity, your content means the data you enter or upload. It does not include the Service’s templates, structures or formats, which remain ours even when populated with your data.

9. Availability & beta status

During the beta period, the Service is provided as-is, without service-level guarantees. We will use reasonable efforts to keep the Service available but make no uptime commitments until we exit beta. After launch, target uptime and incident response will be specified in a separate Service Level Agreement.

10. Termination

You may terminate your account at any time. We may suspend or terminate your account if you breach these Terms or if your account is unpaid for more than 30 days. After termination we retain your data for 30 days for reactivation, then delete it.

11. Disclaimers & liability

The Service is provided “as is” without warranties of any kind, except as required by law. To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to liability.

12. Governing law

These Terms are governed by the laws of New Zealand. Any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the courts of New Zealand, except where mandatory consumer-protection laws of your country provide otherwise.

13. Changes

We may update these Terms from time to time. We will post material changes here and notify active users by email. Your continued use after a change constitutes acceptance.
